MYSQL AJAX TABLE EDITOR SOFTWARE AGREEMENT

NOTICE
This is a legal agreement between You and Marketing Email Automator LLC. YOU MUST READ AND AGREE TO THE TERMS OF THIS SOFTWARE LICENSE AGREEMENT BEFORE THE MYSQL AJAX TABLE EDITOR CAN BE DOWNLOADED OR INSTALLED OR USED. BY DOWNLOADING THE MYSQL AJAX TABLE EDITOR, OR INSTALLING THE MYSQL AJAX TABLE EDITOR, OR USING THE MYSQL AJAX TABLE EDITOR, OR CLICKING ON THE "ACCEPT" CHECKBOX OF THIS SOFTWARE LICENSE AGREEMENT, YOU ARE AGREEING TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS SOFTWARE LICENSE AGREEMENT. IF YOU DO NOT AGREE WITH THE TERMS AND CONDITIONS OF THIS SOFTWARE LICENSE AGREEMENT, YOU SHOULD NOT DOWNLOAD OR INSTALL OR USE THE MYSQL AJAX TABLE EDITOR. BY DOING SO, YOU FOREGO ANY IMPLIED OR STATED RIGHTS TO DOWNLOAD OR INSTALL OR USE THE MYSQL AJAX TABLE EDITOR. IF YOU ARE AGREEING TO THIS LICENSE ON BEHALF OF A COMPANY, YOU REPRESENT THAT YOU ARE AUTHORIZED TO BIND THE COMPANY TO THIS AGREEMENT

SOFTWARE LICENSE AGREEMENT
Marketing Email Automator LLC ("MEA") grants You a limited, non-exclusive, nontransferable license, under MEA Copyrights, to download, install and use the Mysql Ajax Table Editor and any revisions thereto made available by MEA according to the terms set forth below.

DEFINITIONS
For the purpose of this Agreement, the following terms shall have the following meanings: "Mysql Ajax Table Editor" means the computer software programs in source code form that implement transaction interfaces, and associated documentation, that are included in any source code files that may be downloaded from the www.mysqlajaxtableeditor.com web site "You(r)" means the company, entity or individual who submits the download form at the end of this Software License Agreement, or on whose behalf such download form is submitted. "MEA Copyrights" means MEA's copyrights in and to the Mysql Ajax Table Editor.

LICENSE
You may:
(a) Use the Mysql Ajax Table Editor on one web server (Another copy must be purchased from www.mysqlajaxtableeditor.com for each additional web server).
(b) Modify the Mysql Ajax Table Editor.

You may not:
(a) Duplicate the Mysql Ajax Table Editor.
(b) Distribute your paypal email to others so they can download the Mysql Ajax Table Editor.

TERMINATION
This license will continue until terminated. Unauthorized use, reproduction or distribution of the Mysql Ajax Table Editor or any other failure to comply with the above terms will result in automatic termination of this Agreement and will make available to MEA other legal remedies.

WARRANTY DISCLAIMER
THE MYSQL AJAX TABLE EDITOR IS PROVIDED ON AN "AS IS" BASIS. MEA MAKES AND YOU RECEIVE NO OTHER WARRANTIES OR CONDITIONS, EXPRESS, IMPLIED, STATUTORY OR OTHERWISE OR IN ANY COMMUNICATION WITH YOU, AND MEA SPECIFICALLY DISCLAIM ANY IMPLIED WARRANTY OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE OR NONINFRINGEMENT AND THEIR EQUIVALENTS. MEA does not warrant that the Mysql Ajax Table Editor will (i) comply in all respects with published protocol descriptions, (ii) be error free or (iii) meet Your specific requirements.

LIMITATION OF LIABILITY
LIMITATION OF LIABILITY IN NO EVENT WILL MEA BE LIABLE FOR ANY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF OR CORRUPTION TO DATA, LOST PROFITS, LOSS OF CONTRACTS, COST OF PROCUREMENT OF SUBSTITUTE PRODUCTS OR ANY OTHER DIRECT, SPECIAL, INCIDENTAL, PUNITIVE, CONSEQUENTIAL OR INDIRECT DAMAGES, LOSSES, COSTS OR EXPENSES OF ANY KIND ARISING FROM THE SUPPLY OR USE OF THE MYSQL AJAX TABLE EDITOR, HOWEVER CAUSED AND ON ANY THEORY OF LIABILITY (INCLUDING WITHOUT LIMITATION NEGLIGENCE). THIS LIMITATION WILL APPLY EVEN IF MEA OR AN AUTHORIZED DISTRIBUTOR HAS BEEN ADVISED OF THEIR POSSIBILITY. THIS LIMITATION WILL NOT APPLY TO THE EXTENT THAT LIABILITY MAY NOT BY LAW BE LIMITED OR EXCLUDED.

LANGUAGE
The parties hereto confirm that it is their wish that this Agreement, as well as other documents relating hereto, have been and shall be written in the English language only.

SUPPORT
You acknowledge that MEA offers no support or maintenance of the Mysql Ajax Table Editor.

GENERAL
This Agreement is governed by the laws of the State of Utah and the intellectual property laws of the United States of America. No party to this Agreement will bring a legal action under this Agreement more than one year after the cause of action arose. Each party waives its rights to a jury trial in any resulting litigation. This Agreement is the entire agreement between us and supersedes any other communications, representations or advertising with respect to the Mysql Ajax Table Editor. The waiver of a breach of any term hereof shall in no way be construed as a waiver of any other term or breach hereof. If any provision of this Agreement is held invalid or unenforceable, such provision shall be revised to the extent necessary to cure the invalidity or unenforceability, and the remainder of the Agreement shall continue in full force and effect. The person entering into this Software License Agreement represents and warrants that such person is authorized to bind and does so bind his or her principal or employer and has adequate legal capacity to enter this Software License Agreement. You may not assign this Software License Agreement or any rights or obligations hereunder, directly or indirectly, by operation of law or otherwise, without the prior written consent of MEA. Subject to the foregoing sentence, this Software License Agreement shall inure to the benefit of and be binding upon the parties and their respective successors and permitted assigns.
